AXA ACCEPTS INVESTOR GROUP OFFER TO ACQUIRE THE ONGOING
BUSINESS OF AXA RE


Greenwich, CT, June 6, 2006 — AXA Group (NYSE: AXA) today accepted the binding offer submitted on April 6, 2006 by Paris Re Holdings Limited to purchase the business of AXA RE, a wholly-owned subsidiary of AXA Group. Paris Re Holdings Limited, which will have an initial capitalization of approximately $1.5 billion, was formed by an investor group to assume the ongoing business of AXA RE. The investor group is led by Stone Point Capital, the manager of the Trident Funds, and other investors including Hellman & Friedman, Vestar Capital Partners, Crestview Capital Partners, Och Ziff Management, ABN AMRO and New Mountain Capital. AXA Group will retain a 4% stake in the company.

Paris Re Holdings will continue to pursue the successful strategy implemented by the current management team of AXA RE. The Company will be led by Hans-Peter Gerhardt as President and CEO. Mr. Gerhardt has 24 years of experience in the reinsurance industry and has served as President and CEO of AXA RE since 2003. Prior to joining AXA RE, Mr. Gerhardt served as Executive Vice President and member of the Executive Committee of General Re Group.

Under the terms of the agreement, a subsidiary of Paris Re will enter into an issuance and quota share agreement with AXA RE ("AA-" S&P rating), permitting Paris Re to write business on AXA RE paper for a transitional period. The acquisition is expected to close in January 2007.
