Supply and Demand Imbalances. The property & casualty sector of the insurance industry experiences pricing cycles driven by the demand for insurance and the supply of capital available to support underwriting activities. Understanding these cycles and being equipped to respond to them quickly and efficiently has enabled us to form a number of successful underwriting companies. Restructurings and Divestitures. The restructuring or disposition of a division or subsidiary by an insurance or financial services company may result in an opportunity to invest in a strong operating platform at an attractive valuation. Distribution and Other Non-Underwriting Businesses. Insurance underwriting companies rely heavily on independent insurance agents and brokers for product distribution and on providers of outsourced claims management and other services. We believe that distribution and other service providers present attractive investment opportunities because their business models are designed to generate consistently strong free cash flows. Distressed Assets and Run-off. In situations where it is commercially impractical to attempt to save a failing company or to continue supporting a particular line of business, there may be opportunities to make an investment in connection with the run-off (or shutdown) of the company or book of business. Few insurers have the expertise or resources to manage the run-off process effectively and, as a result, they often seek to outsource this function to specialized firms. Special Situations. We seek to use our knowledge of the market and our industry contacts to secure attractive investment opportunities in other special situations, including demutualizations, privatizations, public offerings and other financings where sponsors want to involve an experienced, validating investor.
